These Terms of Use (“Terms”) govern your access to and use of ParentAI’s websites, applications, chat experiences, SMS/text, email, voice/call experiences, widgets, and related services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms.
If you do not agree, do not use the Service.
1) Who We Are
“ParentAI,” “we,” “us,” and “our” refer to the ParentAI service operated by or on behalf of ParentMD (or its affiliated entities) (“ParentAI Operator”). ParentAI may be offered directly to consumers and/or made available through healthcare systems or other partners (“Partners”) via co-branded or white-labeled experiences.
2) Important Medical Disclaimer (Read This)
ParentAI provides general educational information about pregnancy, newborn care, and parenting. It is not a medical device and does not provide medical advice, diagnosis, or treatment.
Not a substitute for a clinician. Always seek advice from your pediatrician/OB-GYN or qualified healthcare provider for questions about health or symptoms.
Emergency situations. If you think you have an emergency, call 911 (or local emergency services) immediately.
No guarantees. The Service may be incomplete, outdated, or inaccurate. You are responsible for how you use the information.
Optional telehealth resources (third-party): ParentAI may suggest third-party telehealth services such as Blueberry Pediatrics or Anytime Telecare. These are independent services not controlled by ParentAI Operator, and your use of them is governed by their own terms and privacy policies.
3) Eligibility
You must be at least 18 years old to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
4) Accounts, Partner Access, and Communications
Some features may require an account or be provisioned through a Partner (e.g., a healthcare system).
Account security. You are responsible for maintaining the confidentiality of credentials and for all activity under your account.
Communication channels. The Service may communicate with you via chat, email, SMS/text, and voice/calls depending on how you interact with ParentAI.
SMS/text and calling notice. Standard message and data rates may apply. Carriers are not liable for delayed or undelivered messages.
Partner-provisioned identifiers. If the Service provides Partner-specific phone numbers, emails, or widgets, you agree those may be used for experience delivery, routing, and analytics as described in the Privacy Policy and any Partner notices.
5) Your Content and Inputs
When you submit information to the Service (e.g., questions, messages, prompts, attachments) (“User Content”):
You represent you have the right to provide it and it does not violate law or third-party rights.
You grant ParentAI Operator a non-exclusive, worldwide, royalty-free license to use User Content to operate, provide, maintain, and improve the Service, including for safety, quality, and debugging, subject to the Privacy Policy and applicable law.
You understand that do not submit highly sensitive information unless specifically requested in a secure, compliant workflow (for example, medical record uploads), and only if the Service explicitly supports it.
6) Acceptable Use (What You Can’t Do)
You agree not to:
Use the Service for emergencies or to replace professional medical care.
Provide false information or impersonate someone else.
Attempt to reverse engineer, scrape, or extract models, prompts, system instructions, or proprietary logic.
Use the Service to generate or distribute illegal, harmful, or abusive content.
Interfere with the Service’s security, availability, or integrity (including probing, scanning, or load testing without permission).
Use automated means to access the Service in a way that materially harms performance or violates rate limits.
We may suspend or terminate access for violations.
7) Intellectual Property
The Service, including its software, workflows, user experience, branding, content organization, and underlying logic, is owned by ParentAI Operator and/or its licensors and is protected by intellectual property laws.
Your rights. You may use the Service for personal, non-commercial purposes unless otherwise agreed in writing (or as permitted in a Partner plan).
No copying. You may not reproduce, distribute, publicly display, or create derivative works from the Service except as permitted by law or written permission.
8) Third-Party Services and Links
The Service may link to or integrate with third-party websites, telehealth providers, scheduling tools, analytics, or Partner systems. ParentAI Operator is not responsible for third-party services, and your use is subject to the third party’s terms and policies.
9) Privacy
Your use of the Service is also governed by the ParentAI Privacy Policy (“Privacy Policy”), which explains how we collect, use, and share information. If a Partner provides the Service to you, additional Partner notices may apply.

10) Service Changes, Availability, and Beta Features
We may change, suspend, or discontinue any part of the Service at any time, including features offered as beta or preview. The Service may be unavailable or experience delays.
11) Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, accurate, or error-free, or that any content will be correct or suitable for your situation.
12) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARENTAI OPERATOR AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID (IF ANY) TO USE THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the greatest extent permitted.
13) Indemnification
You agree to defend, indemnify, and hold harmless ParentAI Operator and its affiliates from and against claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any rights of another.
14) Termination
We may suspend or terminate your access to the Service at any time for any reason, including if we believe you violated these Terms or the Service poses risk to users or systems. You may stop using the Service at any time.
Sections intended to survive termination (including IP, disclaimers, limitation of liability, indemnity, and dispute terms) will survive.
15) Dispute Resolution and Governing Law (Template Options)
Choose one of the following approaches based on your counsel’s preference:
Option A — Court / No Arbitration (simpler):
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict of laws principles. Any dispute must be brought in state or federal courts located in [County], Kentucky, and you consent to jurisdiction and venue there.
Option B — Arbitration + Class Action Waiver (stronger, needs careful review):
Any dispute will be resolved by binding arbitration administered by [AAA/JAMS] under its rules, on an individual basis. You and ParentAI Operator waive any right to participate in class actions or class arbitrations. Governing law: Kentucky. Venue for permitted court proceedings: Jefferson County, Kentucky.

16) Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice through the Service or other reasonable means. Continued use of the Service after the effective date of updated Terms constitutes acceptance.
